Debenture and Ownership Structure at STFC

TrustSTFC Seeks Clarifications from STFC on Ownership Restructuring and New Debenture

TrustSTFC has written to Swindon Town Football Club seeking a full explanation of the transactions which have resulted in Clem Morfuni becoming the 100% owner of the club.

TrustSTFC has also sought an explanation as to why STFC has entered into a debenture dated 27 March 2026 with Axis Plumbing NSW Group Pty Limited, published yesterday.

In particular, TrustSTFC has asked for confirmation of the assets and debts secured under the debenture.

Pending that explanation, TrustSTFC notes that it objects on behalf of supporters to ownership loans being secured by debentures. Trust STFC has previously praised Clem Morfuni for eliminating previous debentures and asks him to reconsider his decision and discharge this debenture.

Concerns Regarding The County Ground

TrustSTFC also notes that the debenture purports to cover the club’s shares in The County Ground Stadium Custodians Limited — the joint venture company which owns the County Ground. TrustSTFC believes that these shares should not be charged as security for loans. If the debenture is not discharged in full, TrustSTFC has requested that it is amended immediately expressly to exclude those shares.

TrustSTFC hopes to meet with the club on Monday and will provide a further update to supporters as soon as possible.
